An exciting, new opportunity has arisen for a Director of Legal and Company Secretary at the Adara Group.

about the role

In this role, you will support both Adara Development and the Adara Businesses (Adara Partners and Adara Advisors) by leading the legal and governance functions of the Adara Group. Reporting to the CEOs of Adara Development and the Adara Businesses, your responsibilities will include providing high-quality and timely legal, compliance, governance, and transactional advice globally. You will support Adara Partners’ transaction team and Panel Members on various mandates such as mergers and acquisitions, capital markets transactions, and governance mandates, while also assisting international development teams in Nepal and Uganda on complex legal matters.

Additionally, you will manage global legal risk, compliance reporting, and the Adara Group’s insurance programme. Your duties will encompass preparing and negotiating agreements, updating policies, presenting legal reports to the Adara Development Board, handling employment-related matters, and assisting with grant applications and business tenders. As Company Secretary, you will facilitate governance meetings, draft agendas, minutes, and resolutions, and liaise with external counsel and strategic partners to manage and build key relationships.

To be successful in this position, it is essential that you have:

  • 8+ years PQE, at a top-tier law firm and/or in a well-established in-house team, with exposure to and experience handling a range of complex corporate and commercial matters
  • Admitted to practice in Australia and holding or eligible for a corporate legal practitioner practicing certificate
  • Strong understanding of Australian corporate law and the Australian financial services regulatory environment
  • Strong analytical, drafting and negotiation skills and proficiency in developing and implementing legal strategies in a commercial context
  • High level of attention to detail
  • Excellent communication skills (verbally and in writing), including the ability to explain complex legal issues in plain English, often to people for whom English is a second language
  • Ability to manage multiple and disparate tasks, including excellent organisational and time management skills
  • A passion for social justice and for making a difference in the world
  • Flexibility, creativity, openness, kindness, integrity, fairness and an in-depth hands-on approach
